Hindustan Coca-Cola Holdings Limited (HCCH), the entity overseeing Coca-Cola's bottling operations in India, has submitted its Draft Red Herring Prospectus (DRHP) to the Securities and Exchange Board of India (SEBI) for an Initial Public Offering (IPO). The filing, made on November 6, 2026, marks a significant step towards the company's stock market debut.
The proposed public issue will consist of up to 99,74,61,456 equity shares, each with a face value of Rs 10. These shares are being offered by Hindustan Coca-Cola Overseas Holdings Pte Ltd, the promoter shareholder. Notably, the entire IPO is structured as an Offer for Sale (OFS), meaning HCCH itself will not receive any direct proceeds from the issue. The shares are slated for listing on both the BSE and NSE.
Ownership Structure to Shift Post-IPO
Currently, The Coca-Cola Company holds a 60% stake in HCCH through its subsidiary, Hindustan Coca-Cola Overseas Holdings, with Jubilant Beverages owning the remaining 40% after acquiring its stake in 2025. Following the successful completion of the IPO, The Coca-Cola Company's ownership is projected to decrease to approximately 45%, while Jubilant Beverages' stake is expected to remain unchanged.
This strategic move aligns with Coca-Cola's broader objective to strengthen its presence in India, which currently stands as its fifth-largest global market and is anticipated to become its third-largest in the coming years.
Strong Financial Performance Fuels Listing Plans
HCCH has demonstrated robust financial growth, reporting a revenue from operations of Rs 4,310.17 crore for the three months ending June 30, 2026. This represents a substantial year-on-year increase of 20.46%. The company also saw its total sales volume rise by 18.61%, indicating strong consumer demand across its diverse beverage portfolio. Furthermore, HCCH's EBITDA margin, excluding other income and exceptional items, improved significantly to 17.20% from 13.76% in the corresponding quarter of the previous year.
Operating through its subsidiary, Hindustan Coca-Cola Beverages (HCCB), HCCH primarily serves southern and western India. Its extensive portfolio encompasses 41 beverages, including popular sparkling drinks, hydration products, and still beverages like Thums Up, Maaza, and Kinley.
Expanding Market and Distribution Network
According to the DRHP, HCCH's key operational markets boast a combined population of approximately 616.9 million and include five of India's eight largest metropolitan areas. The non-alcoholic ready-to-drink beverage market within these states was valued at Rs 63,730 crore in FY26 and is projected to reach Rs 1,18,320 crore by FY31, growing at a compound annual growth rate (CAGR) of 13.17%.
HCCH's robust infrastructure includes 14 production facilities, supported by eight co-packing units and 90 bottling lines. Its extensive distribution network reaches approximately 17 lakh (1.7 million) retail outlets through 2,273 distributors. The company is actively pursuing strategies for deeper distribution, portfolio expansion, and optimizing product pricing and packaging to capitalize on future growth opportunities.
The IPO is being managed by a consortium of book-running lead managers, including Kotak Mahindra Capital, Citigroup, JP Morgan, Morgan Stanley, Axis Capital, Goldman Sachs, and IIFL Capital Services.
