Fairfax Acquires 60.72% IDBI Bank Stake in India's Record ₹52,878 Crore FDI Deal

· · 3 min read

India's Union Cabinet has approved the sale of a 60.72% stake in IDBI Bank to Canada's Fairfax Financial Holdings for ₹52,878 crore. This transaction marks the nation's largest foreign direct investment (FDI) deal to date.

Cabinet Approves Landmark IDBI Bank Stake Sale

The Union Cabinet has given its approval for the strategic restructuring of IDBI Bank, greenlighting the sale of a 60.72% stake to Canada's Fairfax Financial Holdings. Valued at ₹52,878.08 crore, this transaction represents India's largest foreign direct investment (FDI) deal to date and a significant strategic disinvestment initiative.

Fairfax Financial Holdings will acquire 30.48% of the equity shareholding from the Government of India and 30.42% from the Life Insurance Corporation of India (LIC). Finance ministry officials anticipate the deal's completion within the current fiscal year, pending swift clearances from the Reserve Bank of India (RBI).

Deal Structure and Regulatory Compliance

Under the terms of the share purchase agreement (SPA), Fairfax Financial Holdings faces specific obligations. Within two years of signing the SPA, the company is expected to either merge or exit its approximately 40% holdings in CSB Bank. Additionally, a five-year lock-in period will apply to Fairfax's stake in IDBI Bank.

Following the lock-in, Fairfax will have a 15-year window to gradually reduce its stake in IDBI Bank to comply with RBI promoter holding norms, which cap promoter stakes in private sector banks at 26% of paid-up share capital or voting rights. The deal also mandates an open offer to minority shareholders post-SPA.

Government and LIC Retain Strategic Investment

Finance Minister Nirmala Sitharaman emphasized that this should be viewed as a strategic restructuring rather than a pure disinvestment, as both the Centre and LIC will maintain a presence in IDBI Bank. Post-sale, LIC will retain a 19% stake, while the Centre will hold 15% of its equity. LIC is expected to further pare its stake to 15% within the next two years to be reclassified as a public shareholder, particularly to continue holding its housing loan portfolio through LIC Housing Finance.

Despite their continued investment, officials confirmed that the government and LIC will not hold board-level appointments in the now private sector lender. Arunish Chawla, DIPAM Secretary, stated, “We do a strategic transaction with a clear mind. We will get off the board with a new promoter coming in. There will be no contingent liability on us.”

Assurances for Employees and Brand Continuity

Officials have also addressed concerns among IDBI Bank employees, assuring them that the change in management will not negatively impact their positions. They clarified that IDBI Bank is a board-managed entity, distinct from a traditional public sector bank, and that stakeholder concerns have been continually addressed over the past year.

Prem Watsa-led Fairfax Financial Holdings will also be required to utilize the IDBI brand name and logo for a period of three years following the signing of the SPA, ensuring continuity for customers and market recognition.
