Shares of India's largest multiplex chain, PVR Inox Ltd., experienced a significant decline on Monday, dropping 5.68% to close at Rs 1,157.40. The fall came in the wake of a news report that raised concerns over an internal examination into alleged kickbacks involving a former senior executive.
In response to the report, PVR Inox issued a clarification to the stock exchanges. The company stated that in early April 2026, its two promoters received anonymous communications containing allegations of impropriety by certain employees. While these communications did not explicitly name Mr. Pramod Arora, a former senior executive, they used acronyms or initials and lacked specific, verifiable details regarding instances, dates, or names of alleged developers involved in providing kickbacks.
Company Initiated Preliminary Assessment
Despite the anonymous nature and lack of specific details, PVR Inox, as a measure of good corporate governance, engaged external third-party experts to conduct a preliminary assessment into the allegations.
Executive Resignation and Company's Stance
Mr. Pramod Arora, whose name was linked to the allegations in media reports, resigned from the company on May 4, 2026, citing personal reasons. PVR Inox accepted his resignation and duly informed the stock exchanges on May 25, 2026. The company explicitly clarified that Mr. Arora was not asked to leave.
Furthermore, PVR Inox asserted that its preliminary examination into the anonymous allegations did not indicate any evidence of kickbacks. The company affirmed its commitment to making appropriate disclosures in compliance with applicable laws as and when required.
Beyond the kickback report, the stock's decline was also partially attributed to the record date for the company's recently announced share buyback program.
