Tata Motors Ltd. has launched an all-cash voluntary tender offer to acquire all common shares of the Iveco Group, an Italian commercial vehicle manufacturer. The bid, made by Tata Motors' subsidiary TML CV Holdings B.V., values Iveco at €3.82 billion, offering €14.10 per share. The voluntary tender offer will remain open for acceptance until October 26. Key conditions for the acquisition include a minimum acceptance level of 95 percent of Iveco's common shares. This threshold can be automatically reduced to 80 percent if shareholders approve a specific back-end resolution during an Extraordinary General Meeting (EGM).
Tata Motors emphasized that the combination of its commercial vehicle business with Iveco Group presents virtually no overlap in their industrial and geographic footprints. This synergy is expected to foster a smooth integration process while preserving each group's existing industrial presence and employee communities.

The combined entity is projected to achieve annual sales exceeding 590,000 units and generate combined revenues of €21 billion (approximately Rs 2,28,000 crore). This revenue base would be geographically diverse, with 46 percent from Europe, 32 percent from India, 8 percent from South America, and 14 percent from the Rest of the World, establishing strong positions in key emerging markets across Asia and Africa.
