Whirlpool of India Ltd. addressed recent market speculation today, clarifying that reports concerning a potential promoter stake sale pertain to its parent entity, Whirlpool Corporation, and not directly to the Indian subsidiary. The announcement came as the company's shares concluded trading 1.13 percent lower at Rs 855.55 on the BSE.
Clarifying Promoter Intent
In response to an exchange query, Whirlpool of India stated that its promoter, Whirlpool Corporation, has publicly indicated its intention to reduce its shareholding in the Indian company since January 30, 2025. However, Whirlpool of India emphasized that it has not been a party to any negotiations Whirlpool Corporation may be conducting with potential buyers.
The company further detailed that it had amended various intercompany arrangements in October 2025, a move disclosed to stock exchanges. Subsequently, Whirlpool Corporation sold approximately 11% of its shareholding in 2025, a transaction also publicly disclosed.
Ongoing Discussions and Uncertainty
Whirlpool of India reiterated its position, stating, "the Company is not a party to any such discussions or negotiations of Whirlpool Corporation with potential buyer(s) for any further stake sale by Whirlpool Corporation." This means the Indian entity remains unaware of whether ongoing discussions involve the entire remaining shareholding or only a portion, nor does it have information on specific terms, pricing, or the stage of negotiations.
A recent communication on September 22, 2026, from Whirlpool Corporation (on behalf of Whirlpool Mauritius, the promoter), informed Whirlpool of India's Board of Directors about the continued intent to sell shares to a third party as part of a control transaction, with explorations underway with multiple potential counterparties. Despite this, Whirlpool of India maintains it is not involved in these proposed transactions or any related negotiations concerning its promoter's decisions on their shareholding.
