Adani Ports Expands into Europe with Evos Acquisition; Analysts Reassure on Leverage

· · 2 min read

Adani Ports & Special Economic Zone Ltd (APSEZ) is set to acquire Evos, Europe's second-largest independent liquid storage operator. Analysts largely view the deal positively, noting its high-margin potential and confirming that Adani Ports' balance sheet leverage remains under control.

Adani Ports & Special Economic Zone Ltd (APSEZ) is making a strategic foray into the European market with its acquisition of Evos, the continent's second-largest independent liquid storage operator. This move is largely being met with positive sentiment from market analysts, who highlight the deal's potential for high-margin, value-accretive growth while assuring that APSEZ's balance sheet leverage will remain manageable.

Strategic European Expansion

Adani Ports' management has underscored several key attractions of the Evos acquisition. These include Evos' strategically advantageous locations, its exposure to both conventional and transition fuels, a stable macroeconomic environment, and the benefit of hard-currency earnings. This expansion bolsters APSEZ's international presence significantly.

Financial Outlook and Analyst Confidence

Leverage Under Control

Global investment bank Jefferies views the acquisition as a positive step, noting that Evos adds a high-margin European liquid business. The firm expects APSEZ to drive value-accretive growth, particularly by leveraging the energy transition. Crucially, Jefferies anticipates that Adani Ports' balance sheet leverage will be maintained under control post-acquisition.

Similarly, Nuvama analysts stated that the acquisition grants APSEZ access to a strategically located liquid storage platform within a stable macroeconomic, geopolitical, and currency environment. They project that the acquisition, expected to close in 15 months, will contribute immediately to APSEZ's EBITDA, reinforcing their 'Buy' rating and unchanged target price.

Operational Synergies and Returns

JM Financial analysts, who recently upgraded APSEZ to a 'Buy', noted that the management aims to enhance the return on capital employed (RoCE) of these assets. This will be achieved by focusing on additional value-added activities and expanding into the broader ecosystem, including distribution, over the longer term. They emphasized that no additional capital expenditure is required for Evos, which provides strong annuity-type storage EBITDA with CPI-linked escalations, offering robust cash flow visibility.

While initial synergies with Indian operations are limited, analysts see potential for acquiring engineering capabilities related to sustainable fuels, which could be a long-term benefit.

Funding and Future Prospects

The acquisition also offers APSEZ access to lower-cost funding, with Evos' existing cost of debt at 4.5% compared to APSEZ's 6.5% (including foreign-currency borrowings). Management intends to retain Evos' current leadership team and may leverage its balance sheet for future acquisition funding. The deal is expected to be completed within 15 months, with immediate contributions to APSEZ's EBITDA.
