Noel Tata Pushes Tata Sons Restructuring to Avoid Listing Ahead of Nov 26 Meet

· · 3 min read

Noel Tata has sent multiple letters to the Tata Sons board, urging a restructuring to prevent a mandatory stock market listing. He also seeks discussion on a ₹25,000 crore funding requirement for the Shapoorji Pallonji group before the crucial November 26 meeting.

Mumbai – Noel Tata, a nominee director on the Tata Sons board and chairman of Tata Trusts, is actively pushing for a significant restructuring of Tata Sons to avoid a mandatory stock market listing. His efforts come ahead of a critical board meeting scheduled for November 26, where these contentious issues are expected to be front and center.

In the week leading up to the meeting, Tata has dispatched three letters to the board, highlighting ongoing turbulence within the salt-to-semiconductor conglomerate. These communications follow an attempted truce meeting on October 25 between Noel Tata and current Tata Sons Chairman N Chandrasekaran, aimed at finding common ground.

Restructuring to Prevent Listing

A primary concern for Noel Tata is the Reserve Bank of India’s (RBI) mandate for Tata Sons to list as an upper-layer non-banking financial company (NBFC) and core investment company (CIC). Tata Trusts, the largest shareholder with a 66% stake, is firmly opposed to the listing of the holding company. To circumvent this, Noel Tata proposes merging two operating subsidiaries, Tata Electronic Systems Solutions and Tata Consulting Engineers, into Tata Sons.

This strategic merger aims to recast Tata Sons' asset profile, thereby removing it from the RBI's mandatory listing compliance. A communication from the RBI on September 11, rejecting Tata Sons' application for deregistration as a CIC, has further intensified the push for an alternative solution. Noel Tata has called for a presentation and subsequent deliberation on this restructuring plan at the upcoming board meeting.

Shapoorji Pallonji Group's Funding Needs

Another significant item flagged by Noel Tata for immediate board discussion is the Shapoorji Pallonji group's funding requirement of ₹25,000 crore. This funding is sought through a capital reduction. The Shapoorji Pallonji group, the second-largest shareholder in Tata Sons, has historically supported the idea of Tata Sons listing, creating a divergence of views within the major shareholders.

Chandrasekaran's Potential Reappointment

Beyond the structural and financial debates, the potential reappointment of N Chandrasekaran as chairman for a third term also looms. Chandrasekaran's current tenure concludes in February 2027. Noel Tata has reportedly raised questions regarding the group's retirement age policy of 65 years for executive positions. Chandrasekaran, currently 63, is understood to be keen on adhering to company policy but also wishes to complete several crucial projects.

The upcoming November 26 board meeting is anticipated to be highly charged, with Noel Tata pushing for definitive deliberations and votes on these critical issues. Sources indicate that a director can request agenda items with at least 15 days' notice, ensuring these matters are formally addressed.

“Noel wants the board agenda on November 26 to include restructuring of Tata Sons to avoid stock market listing. Another issue he has flagged for the board to discuss immediately is that of Shapoorji Pallonji group's funding requirement of ₹25,000 crore through capital reduction.”
