The Securities and Exchange Board of India (SEBI) has implemented a revised settlement framework, effective November 7, 2026, offering individuals and entities a pathway to resolve certain regulatory proceedings. This new mechanism, replacing the 2018 regulations, aims to streamline the process for market participants facing administrative and civil actions.
Understanding the Settlement Costs
While a minimum settlement amount of ₹3 lakh is stipulated for first-time applicants, it's crucial to understand that this is merely a starting point. The actual payment can escalate significantly based on several factors, including the nature and gravity of the alleged violation, the stage at which the proceedings currently stand, and any aggravating or mitigating circumstances.
Applicants must also pay a non-refundable application fee. Individuals are required to submit ₹25,000, while companies, intermediaries, and other entities face a fee of ₹35,000. For subsequent applicants, the minimum settlement amount rises to ₹7 lakh.
How is the Final Amount Determined?
SEBI retains discretion in determining the final settlement figure. This calculation considers a base settlement amount, the specific characteristics of the alleged violation, the procedural stage, and any relevant aggravating or mitigating factors. Paying the minimum amount does not guarantee approval or an automatic closure of the regulatory case.
Eligibility and Application Process
The revised rules permit individuals, stockbrokers, investment advisers, listed companies, and other eligible market participants to seek settlement for specified administrative and civil proceedings. Generally, applications for proceedings pending before SEBI must be filed within 120 days of receiving a show-cause notice or a supplementary notice, whichever date is later.
However, this deadline does not apply to certain proceedings already pending before the Securities Appellate Tribunal or the Supreme Court.
Fast-Track Settlement Option
A new expedited settlement procedure has been introduced for applications involving settlement amounts up to ₹10 lakh. To qualify for this fast-track route, cases must not involve disgorgement, remedial measures, or additional regulatory conditions. To further simplify the process, SEBI has launched an online application facility, a settlement amount calculator, comprehensive FAQs, and a dedicated help desk.
Exclusions and Approval Process
Not all violations are eligible for settlement. Cases involving wilful defaulters, fraudulent borrowers, and fugitive economic offenders are explicitly excluded from this framework. Furthermore, proceedings that involve substantial investor losses, have market-wide consequences, or pose a threat to market integrity may also be deemed unsuitable for the settlement mechanism.
All settlement applications undergo rigorous scrutiny by an Internal Committee and a High Powered Advisory Committee. The final decision rests with a panel of SEBI's Whole Time Members, ensuring a thorough evaluation of each case.
Ultimately, the ₹3 lakh provision establishes a minimum threshold, not a fixed penalty or an automatic means to evade accountability. SEBI maintains the authority to reject applications involving serious misconduct, reinforcing its commitment to market integrity and investor protection.
