Shiprocket IPO Opens August 12: Price Band, Lot Size, and Key Details Revealed

The initial public offering (IPO) for Shiprocket, a prominent e-commerce enablement platform, is set to open for subscription on August 12, 2026. The company has fixed the price band for its shares between Rs 92 and Rs 97 per equity share, aiming to raise Rs 1,617.5 crore through the public issue.

Investors will have a three-day window to subscribe, with the IPO closing on August 14. The anchor investor portion of the offering will open a day earlier, on August 11. Prospective investors can bid for a minimum of 154 equity shares, and in multiples thereof.

Issue Structure and Financials

The IPO comprises a fresh issue of Rs 885.5 crore and an offer for sale (OFS) of Rs 731.9 crore by existing shareholders. This revised issue size is lower than the Rs 2,342.3 crore initially proposed in Shiprocket's updated draft red herring prospectus filed in December 2025. The company received SEBI approval for the IPO in November 2025.

Key investors participating in the offer for sale include Lightrock, Tribe Capital, Moore Strategic Ventures, Agility International Investment, along with individual shareholders Gautam Kapoor, Saahil Goel, and Vishesh Khurana. Additionally, shares worth up to Rs 1 crore have been reserved for eligible employees, who will receive them at a discount to the final issue price.

Shiprocket reported a net loss of Rs 79.2 crore in the financial year 2026, a slight increase from Rs 74.4 crore in FY25, but significantly lower than the Rs 595.1 crore loss in FY24. Revenue for FY26 grew by 24% year-on-year to Rs 2,024.1 crore, maintaining a similar growth trajectory as FY25.

Company Overview and Objectives

Shiprocket operates a technology-driven platform that provides comprehensive solutions for micro, small, and medium enterprises (MSMEs) and large retailers. Its services span logistics, checkout, payments, financing, fulfilment, and cross-border commerce.

The proceeds from the fresh issue are earmarked for several strategic initiatives, including:

  • Expanding its core and emerging business platforms.
  • Repaying existing debt.
  • Pursuing inorganic growth opportunities.
  • General corporate purposes.

Bertelsmann is currently Shiprocket's largest shareholder, holding a 21.32% stake, followed by Tribe Capital at 14.14%, Eternal at 6.85%, KDT Venture Holdings at 5.49%, and Temasek-backed MacRitchie Investments at 5.29%.

Timeline for Listing

Axis Capital, BofA Securities India, JM Financial, and Kotak Mahindra Capital Company are serving as the book-running lead managers for the issue. The basis of allotment is anticipated to be finalized on August 17, with Shiprocket's shares expected to list on the stock exchanges on August 19, 2026.
