Tata Motors' ambitious takeover of Italian commercial vehicle manufacturer Iveco Group is nearing its conclusion after its wholly owned subsidiary, TML CV Holdings B.V., provisionally secured acceptances for 87.81% of Iveco's share capital.
This significant development, announced on October 27, 2026, confirms that the minimum acceptance threshold for the €3.91 billion (approximately Rs 42,561 crore) offer has been met. Shareholders tendered 238.16 million Iveco shares by the October 26 deadline, with the final results expected to be confirmed later this week.
Increased Offer Price and Financial Details
The successful bid follows an earlier adjustment to the offer price. Tata Motors had increased its per-share bid by €0.30 to €14.40, up from the initial €14.10. This revision was made to compensate for an approximate four-month delay in the transaction process, with the company confirming no further price increases would be made.
Based on the provisional results, the Iveco shares tendered during the acceptance period are valued at approximately €3.43 billion. Including Iveco's treasury shares, which account for about 1.8% of its share capital, Tata Motors' potential stake could rise to 89.42%.
Next Steps for the Acquisition
While the results are still provisional, the satisfaction of the minimum threshold condition marks a critical milestone. The final results of the takeover offer are scheduled to be announced by 7:29 am Central European Time on October 29, 2026. Shareholders who tendered their shares during this initial period are slated to receive payment on October 30, 2026, subject to the fulfillment of remaining conditions.
The acquisition of Iveco Group represents a strategic move for Tata Motors, aiming to strengthen its global presence and capabilities in the commercial vehicle sector.
