Adani Enterprises to Sell 5.54% Stake in Airport Unit for ₹9,825 Crore

Adani Airport Holdings Ltd (AAHL) will raise ₹9,825 crore (approximately $1 billion) by selling a 5.54% stake to a global investor consortium. This capital will fund airport expansion, modernization, and new mixed-use developments, aiming to increase annual passenger capacity to 200 million.

Adani Enterprises Ltd. announced on Wednesday that its airport subsidiary, Adani Airport Holdings Ltd (AAHL), has entered into binding agreements to secure ₹9,825 crore, or approximately $1 billion, from a consortium of global and domestic investors. This strategic investment will see the consortium acquire a collective 5.54% stake in AAHL upon the completion of all transaction tranches.

The investor group includes prominent names such as Alpha Wave Global, Premji Invest, Temasek, and funds managed by BlackRock. The transaction values AAHL at an impressive pre-money equity valuation of approximately $18 billion, underscoring the significant potential seen in India's rapidly growing aviation sector.

Strategic Investment Fuels Airport Expansion

The substantial capital raised is earmarked for a series of ambitious projects designed to bolster AAHL's position as a leading airport operator. Proceeds will primarily be channeled into expanding and modernizing AAHL's existing airport infrastructure. Furthermore, the company plans to develop around 22 million square feet of mixed-use 'Adani Airport City' projects in the initial phase, transforming airport vicinities into vibrant commercial and residential hubs.

Beyond physical infrastructure, the funds will also be utilized to scale AAHL's ground-handling and other non-aeronautical businesses, diversifying revenue streams and enhancing operational efficiency. These investments are projected to significantly increase the platform's capacity, enabling it to serve an estimated 200 million passengers annually across its network.

"We will continue to build capabilities within AAHL to scale it into the world's largest airports platform," stated Mr. Arun Bansal, CEO, Adani Airport Holdings Limited, highlighting the company's long-term vision.

Transaction Details and Future Outlook

The completion of this fundraise will occur in three tranches, with the final tranche anticipated by July 2027. The entire transaction remains subject to customary conditions, including securing all applicable regulatory approvals. This latest capital infusion follows Adani Enterprises' successful ₹15,000 crore qualified institutional placement (QIP) in July 2026, which was touted as India's largest QIP by a non-financial corporate.

Commenting on the deal, Jeet Adani, Non-Executive Director of AAHL, remarked, "This partnership marks an important milestone in building out the Adani Airports platform, and we are privileged to have such marquee, long-term investors alongside us on this journey."

AAHL currently manages eight key airports across India, playing a crucial role in the nation's air travel network. The company reports serving more than 23% of the country's total passenger traffic, a figure set to grow substantially with these new investments.
