SEBI Cancels Investment Adviser Registrations for Karvy, Quant Capital, 6 Others Over Unpaid Fees

· · 3 min read

India's market regulator, SEBI, has revoked the investment adviser registrations of eight entities, including Karvy Investment Advisory Services and Quant Capital, due to their failure to pay mandatory renewal fees. The action, effective November 4, 2026, aims to prevent misuse of expired certificates.

The Securities and Exchange Board of India (SEBI) has taken decisive action, cancelling the investment adviser registrations of eight entities, including prominent names like Karvy Investment Advisory Services and Quant Capital. This move, effective November 4, 2026, stems from the firms' failure to pay mandatory renewal fees, a requirement under SEBI's Investment Advisers Regulations, 2013.

SEBI clarified that this measure was crucial to prevent expired registration certificates from being misused, potentially misleading unsuspecting investors. While the cancellations specifically target their investment adviser status, they do not constitute a blanket prohibition on other business activities these brands might conduct.

Why SEBI Acted on Unpaid Fees

Under existing regulations, registered investment advisers are mandated to pay renewal fees every five years to maintain their active registration. SEBI's investigation revealed that all eight entities had neglected this critical requirement, despite having been granted initial registration certificates.

For instance, Karvy Investment Advisory Services, registered on July 3, 2014, had not paid renewal fees since July 3, 2019. Similarly, Quant Capital Private Limited, registered on June 28, 2016, had outstanding fees from June 28, 2021. Tathastu Investment Adviser Private Limited had the earliest outstanding renewal date, dating back to December 4, 2018.

SEBI initiated summary proceedings, issuing notices to these entities to explain why their registrations should not be suspended or cancelled. Six of the eight firms failed to respond, while IDFC Alternatives and Indianivesh Investment Managers proactively requested the cancellation of their own registrations. Consequently, SEBI concluded that their investment adviser registrations had ceased to be in force due to the non-payment of prescribed renewal fees.

The Eight Entities That Lost Registration:

  • Karvy Investment Advisory Services Limited
  • Sagacis Investment Advisor
  • Tathastu Investment Adviser Private Limited
  • Quant Capital Private Limited
  • Arkanis Capital
  • IRA Wealth Advisor
  • IDFC Alternatives Limited
  • Indianivesh Investment Managers Pvt. Ltd.

Implications for Investors and Firms

The immediate consequence of these cancellations is that the affected entities can no longer legally operate as SEBI-registered investment advisers. However, SEBI emphasized that the cancellations do not absolve these firms of obligations arising from their previous advisory activities.

The regulator has directed the entities to ensure the preservation of records, prompt resolution of any investor grievances, the proper transfer of client funds or securities, and continuity of services wherever applicable. Furthermore, SEBI clarified that the firms remain liable for any past actions or omissions and could still face proceedings for earlier violations of securities laws.

For investors, this order underscores the vital importance of verifying the validity of an investment adviser's SEBI registration before seeking financial advice. It is crucial to note that SEBI's stated basis for these cancellations was purely the non-payment of renewal fees, and the order does not imply findings of investment fraud or misappropriation of client funds by these entities.
