Tata Sons Listing Under RBI's New NBFC Rules: Governor Hints at Inclusion

Tata Sons, the holding company of the massive Tata conglomerate, may be required to list under the Reserve Bank of India's new principle-based framework for Non-Banking Financial Companies. RBI Governor Sanjay Malhotra indicated that Tata Sons meets the criteria for the 'upper layer' NBFC classification, despite its pending deregistration request.

The Reserve Bank of India (RBI) has strongly hinted that Tata Sons, the principal holding company for the expansive Tata Group, will likely be mandated to list under the central bank's revamped framework for Non-Banking Financial Companies (NBFCs).

RBI Governor Sanjay Malhotra affirmed that Tata Sons meets the criteria for inclusion in the 'upper layer' of NBFCs, a classification that requires public listing within three years. This statement comes amidst ongoing debate and a pending application from Tata Sons to deregister as an NBFC.

RBI's New Framework and Tata Sons' Status

In June 2026, the RBI introduced a new principle-based framework for classifying NBFCs, replacing its earlier parametric methodology. Under these updated norms, the 'upper layer' consists of NBFCs with an asset size of ₹1 lakh crore or more, based on their latest audited balance sheet. Tata Sons' standalone asset size stands at an impressive ₹1.75 lakh crore, comfortably exceeding this threshold.

Previously, in 2022, the RBI had included Tata Sons in its list of upper-layer NBFCs, specifically as a Core Investment Company (CIC), which triggered the three-year listing mandate. While the central bank is yet to publish an updated list under the new framework, RBI officials assert that the principle-based criteria make it clear which entities fall into each layer.

"Everyone knows as to which NBFC is in the upper layer, which is in the middle and which is at the base layer. All those who meet the criteria, will continue," Governor Malhotra stated. When directly questioned about Tata Sons, he confirmed, "it is in the list."

The Road Ahead for Tata Sons

Despite the RBI's clear indications, the ultimate decision on Tata Sons' listing remains in flux. The company's application to deregister as an NBFC is still pending with the central bank, with no public update on its status. RBI Deputy Governor Shirish Chandra Murmu also confirmed that a new official list of upper-layer NBFCs would be released "very soon."

The impending release of this list, combined with the RBI Governor's recent comments, suggests that Tata Sons may have limited options other than to proceed with a listing, unless its deregistration request is approved before the new list is finalized. This development holds significant implications for one of India's largest conglomerates and the broader financial market.
